Terms of Service
Effective 10 August 2026These Terms of Service ("Terms") govern access to and use of the Cratus NextGen platform ("Cratus", "the platform") by order-fulfilment companies, brands, and their authorised users ("you", "account holder"). By creating an account or using the platform, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
What Cratus is
Cratus is a warehouse and order-management operating system for multichannel e-commerce fulfilment — connecting marketplaces and sales channels (including Amazon, Flipkart, WooCommerce, ONDC and JioMart), unifying orders and inventory, and providing reconciliation, GST compliance, and brand-facing reporting. Cratus is a business-to-business software service; it is not a marketplace, and it does not itself sell goods to consumers.
Your account and responsibilities
- You are responsible for the accuracy of the channel credentials, product, and pricing data you connect or enter into Cratus.
- You are responsible for maintaining the confidentiality of your account login and for all activity under it, including access granted to your own authorised users.
- You must comply with the terms and policies of any third-party channel you connect through Cratus (Amazon's Business Solutions Agreement and SP-API terms, Flipkart's Seller Agreement, and equivalents for other channels) — Cratus facilitates the connection but does not stand in for your own obligations to those channels.
- You must not use the platform to violate applicable law, including tax, consumer-protection, or data-protection law.
Acceptable use
You may not: attempt to circumvent the security or rate limits of any connected marketplace API in a way that violates that marketplace's own developer terms; use the platform to process data you are not authorised to process (including another party's marketplace account without permission); reverse-engineer, resell, or white-label the platform without a separate written agreement; or use the platform to store or transmit unlawful content.
Data & privacy
Cratus processes order, inventory, and buyer data on your behalf as described in our Privacy Policy, which forms part of these Terms. You remain responsible, as the account holder, for having a lawful basis to have your customers' data processed through Cratus and for your own privacy notice to your customers.
Fees
Fees for the platform are as agreed separately in writing (order form, quote, or commercial agreement) between Cratus and the account holder. Where no separate agreement exists, no fee obligation arises from access alone.
Intellectual property
Cratus and its underlying software, design, and branding remain the property of Cratus. Account holders retain ownership of their own business data processed through the platform. Using the platform does not transfer any intellectual property rights other than the limited right to use the platform as intended.
Availability & changes
We aim to keep the platform available and reliable, but do not guarantee uninterrupted access — scheduled maintenance, third-party marketplace API outages, and factors outside our control can affect availability. We may update platform features over time; material changes affecting core functionality will be communicated to account holders.
Limitation of liability
To the maximum extent permitted by applicable law, Cratus is not liable for indirect, incidental, or consequential damages arising from use of the platform, including losses arising from a connected marketplace's own API errors, rate limits, or policy changes outside our control. Nothing in these Terms limits liability that cannot lawfully be limited.
Termination
Either party may terminate access as agreed in the applicable commercial agreement, or, where none exists, with reasonable written notice. On termination, we will make your business data available for export for a reasonable period before deletion, except where we are required by law to retain it longer.
Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of India.
Changes to these Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.
